How to start a private limited company and become a corporate customer at DNB
Before you set up a private limited company, you must draw up your founding documents and articles of association. The founding documents describe about who the founders of the company are, the allocation of shares and how much the shares are worth. The articles of association are the company’s internal rules of conduct.
Setting up a private limited company requires some preparation. First, you need to create a founding document with articles of association. The founding document identifies who is founding the company, how the shares are distributed and their value. The articles of association serve as the company’s internal rules.
To ensure that everything is in order, we recommend that you create the founding document and articles of association via Altinn. Here you can easily fill out the necessary information, and all statutory requirements are dealt with.
Create the founding documents and articles of association in Altinn
Everyone who is involved must sign the documents electronically via Altinn. You’ll receive an SMS immediately after you sign. You will find the fully signed foundation document in your inbox at Altinn.
Psst! Remember to check that you have the signed founding document from your Altinn inbox – this is not the same as the form you can download when signing.
When the founding documents and articles of association are completed and signed, you are ready to become a DNB customer. This is a necessary step for opening an account where you can pay in the share capital. In addition, you’ll be able to order any additional services that your business may need.
Don’t forget to attach signed foundation documents and articles of association. These are necessary in order for us to process your application.
Important! If you have created it via Altinn, you need to upload the signed founding document. You’ll find this in your inbox in Altinn. It’s not the same form you can download when you sign – it’s only a receipt form.
Click on "Start application with BankID" at the top of the page to become a corporate customer.
We’ll first set up an account for your equity payment.
When we have opened an account for you, you can transfer the share capital. This must be at least NOK 30 000, divided into one or more shares. If the founders pay in more than this, they pay a share premium. The sum of the share capital and share premium constitutes the share contribution. If the share contribution is higher than NOK 1 million, you need confirmation from an accountant, auditor or lawyer.
We will send you a confirmation of the deposited share contribution.
When you receive this, you are ready to register the company with Altinn. The customer account at DNB is established when the company is registered in the Brønnøysund Register Centre.
It is now time to register your company with Altinn.
Start your registration with the Samordnet registermelding (coordinated register notification)
Here you will also need to provide your founding document and articles of association, and confirmation of deposited share capital.
You will also be asked to enter the organisation number of the entity that needs to sign to confirm the confirmation is correct.
Here you should enter our organisation number:
DNB Bank ASA, no. 984 851 006.
We will obtain your organisation number directly from the Brønnøysund Register Centre.
We will now set up a business agreement including an account, card and online banking for you, and send you everything you need by regular post.
You will receive a unique user ID (two letters + five numbers) that you can use to log in to the corporate online bank.
